1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Player", or "you") and Codepeeps LTD ("Codepeeps", "we", "us", or "our"), a limited liability company, governing your access to and use of Uniben Life (the "Platform", "Service", or "Simulation").

By registering an account, downloading, accessing, or playing Uniben Life, you signify that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue your access to the Service.

2. Eligibility and Age Verification

You must be at least eighteen (18) years of age or the legal age of majority in your jurisdiction to create an account or participate in Uniben Life. The Service is not intended for or directed toward individuals under 18 years of age.

By creating an account, you affirmatively represent and warrant that you are at least 18 years old and possess the legal capacity to enter into these Terms. Codepeeps LTD reserves the right to request proof of age at any time and may suspend or terminate any account where compliance cannot be confirmed.

3. Account Registration and Security

To access features of the Simulation, you must register by providing a valid email address and choosing a unique in-simulation handle (username). You agree to provide accurate, current, and complete information during registration.

You are entirely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify Codepeeps LTD immediately upon discovering any unauthorized use or security breach. Codepeeps LTD will not be liable for any loss or damages resulting from unauthorized account access.

4. Virtual Currency, Assets, and In-Game Goods

Uniben Life may provide opportunities to acquire virtual currency (such as virtual cash or tokens), virtual properties, furniture, avatar modifications, and virtual goods (collectively, "Virtual Items").

• Limited Revocable License: All Virtual Items are licensed, not sold, to you under a limited, personal, non-exclusive, non-transferable, revocable license strictly for your personal, non-commercial entertainment within the Simulation.
• Zero Monetary Value: Virtual Items do not constitute personal property, equity, banking balances, or securities. They have no real-world cash value and cannot be redeemed, exchanged, or converted into real fiat currency (such as Nigerian Naira or foreign currency) or real-world goods from Codepeeps LTD or any other party.
• No Refunds: All acquisitions of Virtual Items are final and non-refundable. Codepeeps LTD maintains the absolute right to manage, regulate, control, modify, or eliminate Virtual Items at its sole discretion, without liability or advance notice.

5. Intellectual Property Rights

The Platform, including but not limited to its software, 3D assets, textures, visual interfaces, animations, audio recordings, source code, game mechanics, logos, and trademarks, is owned exclusively by Codepeeps LTD and its licensors.

Except as expressly granted in these Terms, no right, title, or interest in or to the Service or any content therein is transferred to you. You may not modify, reverse engineer, decompile, distribute, publish, sublicense, create derivative works from, or commercially exploit any element of the Platform without prior written consent from Codepeeps LTD.

6. Prohibited Conduct and Anti-Cheat Policy

You agree not to engage in any of the following prohibited behaviors:

• Deploying unauthorized bots, automation scripts, memory injectors, or packet manipulation tools.
• Exploiting software vulnerabilities, duplication bugs, or unauthorized technical modifications.
• Harassing, threatening, defaming, bullying, impersonating, or abusing other users or Codepeeps LTD personnel.
• Using the Platform to distribute commercial solicitations, spam, pyramid schemes, or malicious links.
• Attempting to interfere with, disrupt, or burden the servers, infrastructure, or network security of the Service.

7. Account Suspension and Termination

Codepeeps LTD reserves the right, in its sole and absolute discretion, to suspend, terminate, restrict, or delete your account, your access to the Service, or your Virtual Items at any time, with or without cause, and without prior notice or liability.

Upon termination, your license to access the Platform terminates immediately. You may close your account at any time by contacting our support team or utilizing the account settings options.

8. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. Codepeeps LTD expressly disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Codepeeps LTD does not warrant that defects will be corrected or that the Platform will remain accessible at any given time or location.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Codepeeps LTD, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or service interruption, arising out of or related to your use of or inability to use the Service.

In all circumstances, Codepeeps LTD's total aggregate liability arising out of or related to these Terms or the Platform shall be strictly capped at and limited to the total fees paid by you to Codepeeps LTD in the three (3) months preceding the incident, or ten thousand Nigerian Naira (NGN 10,000), whichever is lower.

10. Indemnification

You agree to defend, indemnify, and hold harmless Codepeeps LTD, its corporate affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) resulting from your violation of these Terms, your use or misuse of the Service, or your infringement of any third-party right.

11. Governing Law and Exclusive Jurisdiction

These Terms, their subject matter, and their formation shall be governed by, construed, and enforced in accordance with the substantive laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the competent courts located in Lagos State, Nigeria, and you hereby consent to the exclusive personal jurisdiction and venue thereof.
